When women and people of color lead, they positively transform their organizations. Yet, despite decades of investments in diversity the representation of women and people of color in high-ranking positions is stagnant, and well-known patterns of unconscious bias remain standard practice. In this talk, Dr. Christy Glass will discuss the benefits of inclusive leadership, how bias limits the advancement of talented leaders and innovative ways boards can support more equitable and inclusive practices.
We explored established legal precedent regarding fiduciary duty requirements in the context of maximizing stockholder value, evaluating long-term sustainability, addressing employee concerns, considering ESG issues, recognizing the community economic impact, and assessing legal risks. The case study is applicable to public and private companies, whether incorporated in Utah or Delaware.

The Unique Nexus of the Chief Legal Officer and Directors: Impact on Decision Making and Corporate Governance
In a joint meeting with the Utah Bar General Counsel Section, we explored the dynamics and issues associated with the roles and responsibilities of in-house counsel, particularly the Chief Legal Officer/General Counsel. Senior management and directors rely regularly on the training and expertise of the Chief Legal Officer/General Counsel in a variety of legal and regulatory compliance aspects. Frequently, the relationships that exist between the Chief Legal Officer/General Counsel and such management and directors have a significant impact on an organization's decision-making process and governance. The panel consisted of current and former distinguished directors and CLOs from public, private and non-profit organizations.
