Claudia H. Allen

Claudia H. Allen, a nationally recognized expert on corporate governance, is a Senior Advisor with KPMG’s Board Leadership Center, where she brings extensive experience advising boards, management and investors in public and private companies on corporate governance matters and related issues, such as shareholder activism and engagement, board/committee process and structure and fiduciary duties. Prior to joining the Center, she was a partner and co-chair of the Corporate Governance practice at Katten Muchin Rosenman LLP, where she also represented public and private companies in mergers and acquisitions and securities matters. Claudia is a frequent writer and speaker on corporate governance issues, and has made presentations to the American Bar Association, the Association of Corporate Counsel, Institutional Shareholder Services’ Governance Exchange, the Minority Corporate Counsel Association, the National Investor Relations Institute, Practical Law Institute and the Society for Corporate Governance, among others. She has also appeared on CNBC’s Power Lunch and Squawk on the Street. Claudia’s landmark studies of forum selection provisions in charters and bylaws and majority voting in director elections have been widely cited, including by the Securities and Exchange Commission and the Report of the New York Stock Exchange Commission on Corporate Governance. Claudia is a Fellow of the American College of Governance Counsel, special consultant to the American Bar Association’s Corporate Laws Committee, member of the Executive Committee for the Annual Ray Garrett Jr. Corporate and Securities Law Institute at Northwestern University Law School, member of the Advisory Board for Bloomberg BNA's Corporate Law & Accountability Report, and co-chair of the Coordinating Committee for the Delaware Business Law Forum. Claudia is a magna cum laude graduate of Yale and received her J.D. from Columbia University Law School where she was a James Kent Scholar and Harlan Fiske Stone Scholar. She has been recognized by the International Who’s Who Legal and Best Lawyers in America.

Greg Randall

Gregory P. Randall serves as the Office Managing Partner for KPMG in the Salt Lake City office. Greg is an Audit Partner and has over 20 years of experience in public accounting; serving a variety of both publicly traded and privately held enterprises, providing auditing, financial reporting, and Securities and Exchange Commission compliance services. He has provided auditing and accounting services to a variety of industries including high tech, manufacturing, retail and entertainment. Greg earned his BS in Accounting from the University of Utah. He started his accounting career with KPMG in 1993 and was promoted to Partner in 2004. He serves on the Accounting Department advisory Board for David Eccles School of Business at the University of Utah. In 2008 he was honored as one of Utah Business’ 40 under 40. He is married to Emily Moesser, and they have six children, the youngest three being triplets. He enjoys being with his family as well as running, biking, golfing, and snow and water skiing.
