The Unique Nexus of the Chief Legal Officer and Directors: Impact on Decision Making and Corporate Governance
In a joint meeting with the Utah Bar General Counsel Section, the panel explored the dynamics and issues associated with the roles and responsibilities of in-house counsel, particularly the Chief Legal Officer/General Counsel. Senior management and directors rely regularly on the training and expertise of the Chief Legal Officer/General Counsel in a variety of legal and regulatory compliance aspects. Frequently, the relationships that exist between the Chief Legal Officer/General Counsel and such management and directors have a significant impact on an organization's decision-making process and governance. The panel consisted of current and former distinguished directors and CLOs from public, private and non-profit organizations.
Deborah Bayle retired as President and CEO of United Way of Salt Lake (UWSL) in August, 2015. She held her position at UWSL for 16 years. Her tenure at United Way culminated a 39-year career serving the non-profit sector.
She has served on more than 25 corporate and non-profit boards and currently serves on seven, including People’s Utah Bancorp, where she chairs the Nominating and Governance Committee and serves on the Audit and Compensation Committees. She chairs the Deborah S. Bayle Scholarship for Youth, which provides four-year college scholarships to at-risk students who have been impacted by the work of UWSL. She also serves as a director of the National Association of Corporate Directors, Utah Chapter; United Way Retirees Association; the Kem C. Gardner Policy Institute, Susan G. Komen – Utah; and the Utah Golf Foundation. In most cases, she serves in leadership positions for these organizations.
Deborah has her own consulting company, DSB Consulting, where she focuses on providing professional development and organizational management services.
She has received numerous awards and recognitions during her career, most notably the Athena Businesswoman of the Year, from the Salt Lake Chamber of Commerce; Outstanding Achievement Award, from the YWCA - Utah; the Titan Award, from the Sandy Chamber of Commerce; 100 Most influential People, from Utah Business Magazine, and Outstanding Nonprofit Executive, from Utah Nonprofits Association.
Deborah is the proud mother of two children, and doting Grammy to two grandchildren.

Ms. Washington provides creative and practical guidance to the board of directors and senior executive team.
From August 2012- August 2017, Ms. Washington served in a number of legal roles with LifeVantage Corporation (Nasdaq: LFVN), most recently as Senior Vice President, General Counsel & Corporate Secretary. She advised the company’s board of directors and executives on corporate governance, shareholder activist defense strategies, risk management, internal investigation and regulatory compliance. Prior to LifeVantage Corporation, Ms. Washington served as Senior Legal Counsel and in other roles with EnergySolutions Inc. (Nasdaq: ES, withdrawn) from 2008-2012, including overseeing its SEC reporting. Ms. Washington has also worked in contract management and compliance for Department of Defense contractors.
Ms. Washington is a graduate of DePaul University College of Law. She has served on the board of Komen Utah since November 2013.
Josh Foukas is Executive Vice President of Legal at USANA Health Sciences. In his role, Josh oversees USANA’s legal department, as well as USANA’s business development and investor relations functions. He also advises USANA’s board of directors and executive officer team. Prior to joining USANA, Josh was in-house counsel for a public biotech company and, prior to that, practiced corporate and securities law with a regional law firm. He enjoys vacationing with his family, racing road bikes, mountain biking and skiing.
Mr. Angerbauer is a corporate securities attorney and former general counsel and corporate executive. His expertise includes corporate governance, securities law, mergers and acquisitions, regulatory compliance, capital markets, corporate law and general business transactions. He has represented numerous highly visible clients such as Porsche, Medtronic, Tesla, EnergySolutions and First Interstate BancSystem. Mr. Angerbauer is currently a partner at the law firm of Durham, Jones & Pinegar. He was General Counsel, Executive Vice President, Chief Administrative Officer and Corporate Secretary of EnergySolutions, Inc., a nuclear services company (NYSE), where he served on the Executive Committee directing worldwide operations of 5,500+ employees. Mr. Angerbauer was also General Counsel of an early-stage investment and consulting firm. He previously worked as a corporate attorney and partner at Holland & Hart. Mr. Angerbauer is a member of the Board of Directors of the Utah Chapter of the National Association of Corporate Directors, and is also a member of the New York State Bar Association and the Utah State Bar Association. He has been a member of the Board of Trustees, University of Utah, S. J. Quinney College of Law, and has been the Chair, Vice Chair, President and Vice President of MountainWest Capital Network, and the President of the Business Law Section of the Utah State Bar. He received a J.D. degree from the University of Utah, S.J. Quinney College of Law, M.B.A. from the David Eccles School of Business, University of Utah, and B.A. in Finance from the University of Utah.
